Thank you for choosing Impulse Inc. ("Company") as your platform for creating and selling your content. This Creator Agreement (this “Agreement” or “Terms”) is a legal agreement between you (“you”) and Company that govern your use of the Welligama App (“App") and all related websites, services, features and content (collectively referred to as the "Platform"), where you are submitting, posting, or sharing content with other users through the Platform, such as text, images, and other materials, that require other users to purchase the content (hereafter defined as “Paid Content”).

1. Ownership of Paid Content

You, as a user that shares Paid Content, (“Creator”), retain full ownership and intellectual property rights to the Paid Content you create and share on the Platform.

2. License to Company

By providing your Paid Content on the Platform, you (i) grant the Company a non-exclusive, transferable, sublicensable, worldwide, royalty-free license to use, copy, exploit, modify, publicly display, publicly perform, create derivative works from, incorporate it into other works, change, reformat, and distribute your Paid Content in connection with providing and operating the App and related services and/or for the Company’s promotional purposes (for example, by displaying on our website, within the App, in social media, on any website or platform on the internet as we may deem appropriate), subject to the Privacy Policy; and (ii) you agree to indemnify the Company and its affiliates, directors, officers, and employees and hold them harmless from any and all claims and expenses, including attorneys’ fees, arising from the media and/or your failure to comply with the terms described in this Agreement. You represent and warrant that you have the necessary rights to grant this license.

3. Revenue Sharing

For Sales Made Through Apple In-App Purchases (Digital only goods such as courses, books, programs):

3.1. Creators that share Paid Content on the Platform will receive 50% of the price at which their Paid Content is sold on the Platform.

3.2. Apple Inc. will receive a 30% share of the proceeds from the sale of Paid Content on the Platform as per the terms and conditions set by Apple Inc.

3.3. The Company will retain 20% of the proceeds from the sale of Paid Content on the Platform.

3.4. All applicable sales taxes will be removed from the proceeds before revenue sharing.

For Sales Made Through Apple Pay for In-Person services such as classes and sessions:

3.5. Creators that share Paid Content on the Platform will receive 75% of the price at which their Paid Content is sold on the Platform.

3.6. The Company will retain 25% of the proceeds from the sale of Paid Content on the Platform. 

3.7. All applicable sales taxes will be removed from the proceeds before revenue sharing.

4. Payouts

4.1. Creators will receive their share of the sales revenue on the last day of each month, subject to any delays that may occur.

4.2. The Company will distribute the earnings to the Creator's Stripe Account, managed externally by Stripe, Inc. It is the responsibility of the Creator to ensure that their Stripe Account is active and live in order to receive payouts.

4.3. Creators must maintain an active Stripe Account for the duration of their participation on the Platform to continue receiving payouts.

5. Delays and Standard Practices

5.1. The Company will make every effort to distribute earnings to Creators on the last day of each month in a timely manner. However, there may be delays due to technical issues, payment processing delays, or other unforeseen circumstances.

5.2. The Company reserves the right to withhold or delay payouts to Creators in cases of suspected fraudulent activity, content violations, or violations of this Creator Policy.

6. Agreement to Creator Policy

By sharing Paid Content on the Company Platform, you agree to abide by this Creator Policy. You also acknowledge that you have read, understood, and accepted the terms and conditions outlined herein.

7. Community Guidelines and Content Policy

The Creator Policy and content shared as Paid Content are also governed by the Community Guidelines and Content Policy of the Company. Creators are required to adhere to these guidelines in addition to this Creator Policy.

8. Amendments

The Company reserves the right to amend this Creator Policy at any time. Creators will be notified of any changes, and continued use of the Platform after such amendments constitute acceptance of the updated terms.
